TPC's total cumulative liability to you for any claim arising under or related to these Terms or your use of the Site shall not exceed one hundred U.S. dollars ($100.00). Some jurisdictions do not allow the exclusion of certain damages; in such jurisdictions, TPC's liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Taper Point Capital LLC and its members, managers, officers, employees, and agents from and against any claim, liability, loss, damage, cost, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) any information you submit through the Site that is inaccurate, misleading, or fraudulent; or (d) your violation of any applicable law or third-party right.
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in such courts.
Notwithstanding the foregoing, TPC reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and TPC with respect to your use of the Site and supersede all prior agreements and understandings.
Waiver. TPC's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.
Assignment. You may not assign your rights under these Terms without TPC's prior written consent. TPC may assign its rights under these Terms without restriction.
